Overview
Changing the name of an existing Private or Public Limited Company is a significant corporate event. It requires the approval of the Ministry of Corporate Affairs (MCA) to ensure the new name is unique and compliant with naming guidelines. The process involves passing a Special Resolution in an Extraordinary General Meeting (EGM), altering the Name Clause in the Memorandum of Association (MoA), and filing specific forms (MGT-14 and INC-24). Until the ROC issues a fresh Certificate of Incorporation, the old name remains legally active.

Our step-by-step advisory workflow.
Step 1: RUN Name Approval
We apply for the new name using the RUN web service. The MCA verifies availability and approves the name for 60 days.
Step 2: EGM and Special Resolution
The company holds an EGM to pass a Special Resolution approving the name change and the alteration of the MoA.
Step 3: Filing MGT-14 & INC-24
We file MGT-14 to register the special resolution within 30 days, followed by Form INC-24 seeking formal approval from the Central Government.
Step 4: Fresh COI Issuance
Upon approval, the ROC issues a Fresh Certificate of Incorporation reflecting the new name, officially completing the process.
Key Advantages of Formal Name Change
A formal name change ensures continuity of the business entity while rebranding.
Maintain Corporate History
Changing the name does not create a new company. The CIN remains the same, preserving your company's vintage, credit history, and past contracts.
Strategic Rebranding
Allows the company to align its legal name with a new brand identity, a merger, or a pivot into a completely new industry.
Avoid Trademark Disputes
If you are facing a trademark infringement notice on your current corporate name, legally changing it resolves the dispute permanently.
