Please read this document carefully. By utilizing JRC Legal services, accessing our portals, or submitting information, you represent that you accept all sections and terms outlined below.
Terms and Conditions
Welcome to JRC Legal ("we," "our," "us," or the "Firm"). These Terms and Conditions ("Terms") govern your use of our website jrclegal.in (the "Site") and the purchase or utilization of our professional legal, secretarial, corporate, tax, and share recovery advisory services (collectively, "Services").
By accessing the Site, scheduling a consultation, or purchasing any of our Services, you agree to be bound by these Terms, along with our Privacy Policy. If you do not agree to all sections of these Terms, you are prohibited from utilizing our Services and must exit the Site.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you (whether acting individually or representing a corporate entity, referred to as the "Client" or "User") and JRC Legal. We reserve the right to modify these Terms at any time without prior notification. Updates will be posted on this page with an updated "Last Updated" date. Continued use of the Site or Services after modifications signifies your acceptance of the revised Terms.
2. Description of Services
JRC Legal offers business facilitation, tax planning, intellectual property filing, and capital recovery services, including:
- Company & LLP Registration: Incorporation services under the Companies Act, 2013, and LLP Act, 2008.
- Taxation and Filings: GST registration, GST return filing, Income Tax Return (ITR) drafting, virtual CFO bookkeeping, and TDS returns.
- Intellectual Property (IP): Trademark application, trademark objections response, copyrights registration, and patent filing.
- Share Recovery Services: Reclaiming lost/unclaimed dividends, mutual funds, and physical share certificates, including filing claims with the Investor Education and Protection Fund (IEPF) Authority.
3. Client Responsibility & Documentation
To execute filings, registrations, and claims successfully, the Client must comply with the following obligations:
- Authenticity of Data: The Client must provide true, accurate, current, and complete documents (such as PAN cards, Aadhaar cards, utility bills, board resolutions, and bank statements). We do not verify the authenticity of physical documents submitted to us and assume in good faith that they are correct.
- Original Documents: For physical share recovery, the Client must ship original share certificates, share transfer deeds, or indemnity bonds when requested. It is the Client’s responsibility to use secure, trackable courier services.
- Digital Signatures: The Client agrees to provide Digital Signature Certificates (DSC) or OTPs promptly to complete government form submissions when requested.
4. Government Portals & Filings
- Agency Status: JRC Legal acts as an authorized professional facilitator or consultant. We prepare and submit filings on the Client’s behalf to government registries (MCA, GSTN, Income Tax portal, IP India, IEPF Authority).
- Approvals & Timelines: Government agencies operate on independent schedules. JRC Legal does not guarantee instant approvals, registrations, or refunds of dividends from the IEPF. Approval timelines are subject to Government department processing times, queries, or audits.
- Government Objections: If a government officer raises an objection or query (e.g. trademark objection, GST clarification request, or MCA resubmission), the Client may need to submit additional documents or pay additional fees for drafting legal representations.
5. Professional Fees & Government Charges
Our billing structure is divided into two distinct components:
- Professional Consulting Fees: The fee charged by JRC Legal for drafting, consulting, compiling, and representing your case.
- Government Fees, Stamp Duties, & Taxes: The fees collected by government departments (like MCA filing fees, GST portal registration charges, stamp duty, trademark filing fees, and IEPF application fees).
- Fee Changes: Government charges and stamp duties are dynamic and determined by government regulations. Any change in government fee scales between the date of booking and the actual date of filing must be borne by the Client.
- Payment Terms: Professional fees and estimated government charges must be paid in full in advance before we start drafting or filing documents.
6. Refund and Cancellation Policy
We aim for maximum client satisfaction, but due to the nature of legal and secretarial filings, our refund terms are strict:
- Before Processing: If you request cancellation of a service within 24 hours of booking and before we have initiated draft preparation or consultation, a refund may be granted, subject to a 10% processing fee.
- After Work Initiated: Once draft files, company names searches, trademark classification checks, or share verification steps have commenced, our professional fee is non-refundable.
- Government Fees: Government charges, stamp duties, and registration fees paid to government portals are completely non-refundable once the transaction is executed on the government portal.
7. Intellectual Property Rights
- Website Materials: All logos, graphics, page headers, custom icons, text articles, calculators, and software code on the JRC Legal Site are owned by or licensed to JRC Legal and are protected by Indian trademark, copyright, and trade dress laws.
- No Replication: You may not copy, reproduce, scrape, modify, republish, or distribute any part of this Site without our express written permission.
8. Limitation of Liability & Indemnity
- Limitation of Liability: To the maximum extent permitted by law, JRC Legal, its partners, consultants, and employees shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from (a) delays in government approvals, (b) rejection of name applications or trademark registrations, (c) loss of physical documents in transit, or (d) business interruption.
- Indemnification: The Client agrees to indemnify, defend, and hold harmless JRC Legal, its directors, employees, and agents from any claims, penalties, fines, or losses resulting from the Client’s submission of forged documents, incorrect declarations, or failure to file mandatory renewals.
9. Third-Party Links & API Integrations
Our Site may link to public databases, payment gateway providers, or reference websites. We do not control or review these third-party platforms and make no representations regarding their uptime, security, or accuracy.
10. Termination of Services
We reserve the right to suspend, terminate, or refuse to provide Services to any Client if:
- The Client provides falsified documents or credentials.
- The Client behaves in an abusive or unprofessional manner toward our staff.
- The Client fails to pay outstanding fees or government duties.
- We identify conflicts of interest in representing the Client’s trademark or corporate cases.
11. Governing Law & Dispute Resolution
These Terms shall be governed by, interpreted, and enforced in accordance with the laws of India. Any disputes, differences, or claims arising out of or in connection with these Terms or our Services shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra.
