Trademark Assignment & Ownership Transfer
Legally transfer or acquire trademark rights with or without goodwill under Section 38–45 of the Trade Marks Act.
Overview
A trademark is valuable intellectual property that can be sold, transferred, licensed, or inherited just like physical real estate. In corporate mergers, brand sales, acquisitions, or restructuring between sister companies, the formal transfer of trademark ownership is executed through a legal mechanism called "Trademark Assignment" governed by Sections 38 to 45 of the Trade Marks Act, 1999. An assignment may be executed "with goodwill" (where the buyer acquires the brand along with the existing business reputation and right to sell past products) or "without goodwill" (where the buyer acquires the brand name for specified goods while the seller retains their remaining business operations). A mere contract between two parties does not automatically update government records: under Section 45, the assignee must formally apply on Form TM-P to the Registrar of Trade Marks to register their title. Until the Registrar officially records the assignment on the Register of Trade Marks, the assignment deed cannot be admitted as evidence of title in any court, leaving the new owner unable to initiate infringement suits. JRC Legal drafts ironclad assignment contracts and oversees the complete regulatory recording process.

Frequently Asked Questions
Helpful answers to common regulatory inquiries.
What is the difference between an Assignment with Goodwill and without Goodwill?▼
An assignment "with goodwill" transfers the complete commercial reputation and market standing associated with the brand, allowing the buyer to sell goods as the legitimate successor. An assignment "without goodwill" transfers only the proprietary right to the name for specified goods, while the seller may continue using their reputation for other business activities.
What is the government fee for recording a trademark assignment?▼
The official fee for filing Form TM-P to record an assignment before the Registrar is ₹9,000 per trademark for electronic filing if filed within 6 months of execution of the deed. If filed after 6 months, an enhanced late fee applies.
Is stamp duty mandatory on a Trademark Assignment Deed in India?▼
Yes. Trademark assignment agreements are instruments transferring movable property and are subject to mandatory state stamp duty under the relevant state Stamp Act. An unstamped or improperly stamped agreement is inadmissible in court.
Can a pending trademark application (not yet registered) be assigned?▼
Yes. Under Section 38, even an unregistered or pending trademark application can be assigned to a new applicant by filing Form TM-M / Form TM-P along with the assignment deed.
How long does the Registrar take to update the new owner’s name on the portal?▼
After filing Form TM-P, the registry typically reviews the deed and updates the proprietor name on the public IP India portal within 2 to 4 months.
