Every company registered in India is legally obligated to file its Annual Returns with the Registrar of Companies (ROC) within 30 days (for AOC-4) and 60 days (for MGT-7) of its Annual General Meeting (AGM). Form AOC-4 contains the company's financial statements (Balance Sheet, P&L, Audit Report), while Form MGT-7 contains the details of directors, shareholders, and board meetings held during the year. Delaying these filings attracts a brutal penalty of Rs. 100 per day per form, with no upper cap. Continuous default leads to the company being struck off and directors being disqualified.

What is the deadline for filing?▼
Assuming the AGM is held on September 30th, AOC-4 must be filed by October 29th (30 days), and MGT-7 must be filed by November 28th (60 days).
Do we have to file if the company had zero turnover?▼
Yes. Even if the company did absolutely no business, you must hold an AGM, get the "Nil" accounts audited by a CA, and file AOC-4 and MGT-7 to maintain active status.
