Overview

When an Indian entity (company, LLP, or partnership firm) invests capital into a foreign company (either as a Joint Venture or a Wholly Owned Subsidiary), it constitutes Overseas Direct Investment (ODI). Before remitting any funds outside India, the entity must comply with FEMA guidelines, fill out Form ODI, and route the investment through an Authorized Dealer (AD) Bank. The RBI closely monitors these outflows to ensure they are within the net worth limits (typically 400% of the Indian entity’s net worth) and are not directed to prohibited sectors.
